My motivation for purchasing this book was to gain a deeper understanding of the legal aspects for start-ups, venture capital investments, and buyouts. I was pleasantly surprised to read how clearly the points were made (I am not a lawyer) and thoroughness of the different sections. This book covers popular topics like start-ups and buyouts in addition to more esoteric topics including industry consolidations and turnaround investments. Furthermore, each topic discusses various ways to structure the transaction (e.g. business entity, financing) and the implications of the decision (e.g. liability, tax impact, regulations). Although the book is targeted to business lawyers it really is an invaluable source of information for entrepreneurs and business owners. For example, techniques for VCs to negotiate deal terms with entrepreneurs are covered.
